15+years of experience

I have been working with companies for fifteen years, at every stage: setting up, changes of registered office or partners, capital increases, suspensions and closures. I know the Trade Register's requirements well and where a file usually gets stuck, so the documents leave our office complete and you don't make unnecessary trips.

15+years of experience

For fifteen years I have been preparing files for the Trade Register, from someone's first PFA to companies with several partners and branches in other cities. I listen to you, tell you which business form suits you and which documents you need, then see the file through to the end. I explain things in plain words, without frightening jargon.

Company set-up

Limited liability company

What is an SRL?

An SRL (limited liability company) is a company with its own legal personality, set up by one or more people called partners. The company has its own bank account, signs contracts in its own name and is solely liable for its debts. The partners only risk the money they put into the company, not their personal assets. It is the most common business form in Romania: you can hire as many people as you want and work with any client, whether an individual or a company.

What we need from you

  • ID cards of the partners and the director
  • Three name options, in order of preference. We check whether they are available.
  • For the registered office: the title deed or, where applicable, the lease. We draw up the loan-for-use agreement ourselves.
  • What you want to do. We choose the CAEN Rev. 3 activity codes together.
  • The share capital and how it is split between partners
Authorised self-employed person

What is a PFA?

A PFA (authorised self-employed person) means you work legally on your own account, in your own name, without setting up a company. You need no share capital and no partners, and the accounting is simple. You pay 10% income tax on net income, plus health contributions and, where applicable, pension contributions. It suits trades and services you do yourself. The downside is that you are also liable with your personal assets for business debts.

Sole proprietorship (Î.I.)

What is a sole proprietorship?

A sole proprietorship (Î.I.) is another way of working on your own account, in your own name, just like a PFA: one holder, no share capital, simple accounting and the same taxes. The difference is that it lets you grow: you can have up to 8 employees and up to 10 activities, compared with 3 employees and 5 activities for a PFA. It suits a small business that you run yourself but where you need staff.

Family business (Î.F.)

What is a family business?

A family business (Î.F.) is the form through which two or more members of the same family work together in the same business: a farm, a guesthouse, a workshop. Members can be spouses, children over 16 and close relatives. It is set up through a written agreement stating who represents the business and how the earnings are shared. It cannot have employees: everyone who works in it must be a family member.

Cooperative society · Law no. 1/2005

What is a cooperative society?

A cooperative is a company set up by at least 5 people who join together for a common purpose: to produce, sell or buy together. It suits craftspeople, small producers or farmers. Each member has a single vote in important decisions, however much capital they brought, and no member may hold more than 20% of the capital. Earnings are shared between members according to the articles of association.

Joint-stock company and other forms

What are an SA and the other company forms?

Besides the SRL, the law allows other company forms. A joint-stock company (SA) has at least 2 shareholders and a minimum capital of 90,000 lei, and suits large projects with many investors. The general partnership (SNC) and the limited partnership (SCS) are less common forms, in which some or all partners are also liable with their personal assets. We help you choose the right form and take care of all the paperwork.

What we decide together

  • Sole director or board of directors
  • Statutory auditors or financial auditor, where the law requires them
  • Secondary offices: branches, subsidiaries, places of business

Mergers and demergers

Merger

Two or more companies become a single one. The company that disappears is not liquidated: everything it has, including contracts, employees and debts, passes to the company that remains.

  • By absorption. One company takes over the other, and the absorbed company is struck off.
  • By amalgamation. The companies join into a new company, and the old ones are struck off.

It suits you when you have several companies and want just one, with a single set of accounts, or when you take over someone else's business.

Demerger

A company splits its business: assets, debts and contracts go to one or more companies, either existing ones or newly set up.

  • Full. The company is split entirely, then struck off.
  • Partial. Only part of the business moves to another company, and the original company carries on.

It suits you when the partners want to go their separate ways or when you want to separate one activity from the rest of the business.

Dissolutions and strike-offs

SRLs and other companies

A company is not closed with a single application: first it is dissolved, then liquidated, and finally struck off the Trade Register. We choose the route depending on the company's situation.

  • Simultaneous dissolution and liquidation. The simplest option, when the partners have agreed how to share what is left and no liquidator is needed.
  • Dissolution and liquidation by a liquidator. When the company still has assets to sell or debts to pay.
  • Closing a place of business. When the company stays, but you close just one location.

PFA, sole proprietorship and family business

This is simpler: an application to strike off at the Trade Register, which we prepare, plus a few documents.

  • Bring your ID card and the documents you received at set-up.
  • After the strike-off, you still have to file the single tax return with ANAF (the tax authority) for that year's income.

Frequently asked questions

Good things to know about companies

Short answers to the questions our clients ask most often.

Can I do everything without coming to the office?

Yes. We talk by phone or on WhatsApp, we send you the documents, and you sign them with an electronic signature or by courier. If you prefer, you can come to one of our offices in Galați. See how to sign from home.

What is a director?

The person who runs the company and represents it: signs contracts and documents at the bank and with ANAF. It can be one of the partners or another person, appointed by the partners for a set period.

What is share capital?

The amount the partners bring into the company when it is set up. For a new SRL, the minimum is 500 lei; older companies can keep the capital they have. The money belongs to the company and can be used for its expenses. If turnover exceeds 400,000 lei a year, the capital must be raised to at least 5,000 lei.

What is the CUI?

The unique registration code, a kind of personal ID number for the company. You get it at set-up and it appears on invoices, in contracts and in dealings with the bank and ANAF. It does not change, even if you move the office or change the name.

What is the difference between the registered office and a place of business?

The registered office is the company's official address, the one in its documents. A place of business is where the company carries out its activity: a shop, a workshop, a warehouse. A company has a single registered office but can have several places of business.

How do I open a place of business?

We agree on the address and the activities you will carry out there. You bring the document for the premises: the title deed or the lease. We draw up the loan-for-use agreement ourselves. We draft the partners' resolution and the statement that the premises meet the operating conditions, and you sign at the office or online. We register the place of business with the Trade Register, and it then appears on the company certificate. See the steps in detail.

What is the beneficial owner?

The person who actually owns or controls the company. Usually these are the partners with more than 25% of the capital. It is declared at set-up and at every change.

Does a company with no activity have obligations?

Yes. Even if it earns nothing, the company files returns with ANAF and annual financial statements. If you want a break, you can suspend it for up to 3 years. If you no longer need it, it is better to close it.

When can I find you at the office?

Monday to Friday, between 8:30 and 17:00, at both offices. You can write to us on WhatsApp at any time, and we reply during office hours.

What is the difference between a partner and a director?

The partner owns the company, meaning they hold shares, and takes the important decisions together with the other partners. The director runs the company day to day. The same person can be both partner and director.

Can I take money out of the company whenever I want?

No. The company's money belongs to the company, not to the partners. You can receive it legally as salary or as dividends from profit. If you take it out any other way, you risk problems with ANAF.

What is the CAEN code?

The code that shows what activity the company carries out. You can only do the activities registered with the Trade Register. If you want to do something new, you first add the right code.

What is a loan-for-use agreement?

An agreement by which someone lends you premises free of charge. It is often used when the registered office is in the home of a relative or a friend. We draft it for you.

How do I close a place of business?

We draft the resolution by which the partners decide to close the place of business and file the application to remove it at the Trade Register. The company stays active; only that address no longer appears in its documents. You only need to bring the company's registration certificate. See the steps in detail.

What is a certificate of good standing?

A document issued by the Trade Register with the company's current details: partners, directors, registered office, activities. The bank, the authorities or business partners may ask for it, for example in tenders.

Do I need a company stamp?

It is not mandatory. Some companies use one out of habit or because certain partners ask for it, but documents are valid without it.
